The Alberta Music Education Foundation (AMEF) is a registered charity whose mission is to promote the advancement of music education in Alberta through participation and/or sponsorship. We are seeking an individual for our volunteer Board of Directors to fulfill the role of Secretary.
Authority and Responsibilities: As a member of the Board, the Secretary acts in a position of trust for the community and is responsible for the effective governance of the Foundation. The Secretary is accountable to the Board of Directors. It is the responsibility of the Secretary to:
- Attend all meetings of the Foundation and the Executive, and keep accurate minutes of same. Board meetings are held once per month
- If the Foundation approves a seal, the Secretary shall have charge of the seal of the Foundation. Such
seal, whenever used, shall be authenticated by the signature of the
- Secretary and the Chair, or, in the case of the death or inability of either to act, by the First Vice-Chair
- In the absence of the Secretary, an officer appointed by the Executive shall discharge said duties
- The Secretary shall keep record of the names and addresses of all members of the Foundation
- Serve on the Executive Committee
- Prepare the Annual General Meeting report
- Volunteer at AMEF events
- Experience or interest in fund-development is a definite asset
Requirements:
- Knowledge of board governance and/or experience serving on a non-profit board is an asset
- Willingness to become familiar with and abide by the government of Alberta Societies Act and the Government of Canada Charities Act
- A background and/or expertise in music education and/or performance is a definite asset but not required. Must be a supporter of the arts
- All the requirements of Board membership
Term:
The Secretary is elected at the Annual General meeting but may also be appointed by the board during the year and ratified at the next AGM. The Secretary position is a two (2) year term with the option of extending the term
by one year if desirable, or until his/her successor is elected and installed. No Director or Officer may serve in the same capacity for more than two consecutive terms, i.e. 6 years maximum.
General Duties:
- Record the minutes from any general or annual meeting.
- Keep copies of the Bylaws and the Board's policy statements on file
- Keep lists of officers, Board Members, committees and General Membership
- Keep records of all motions and decisions
- Sign Board minutes and corrections to confirm their accuracy
- Sign official documents of the Foundation as required
- Recruit members (general & board).
- Keeps a monthly backup copy of the Executive Director’s electronic files.
- Sign official documents of the Foundation as required
- Orient their successor
- Recruit members (general and Board) with Past President and Chair
Commitment:
- Attend monthly regularly scheduled meetings of the Board and the Annual General Meeting. Board meetings are generally held on weekends.
- Volunteer at fundraising events (both at our casino which is held every 18-24 months in Calgary and other events as needed)
- Attend special events whenever possible
- Undertake appropriate committee work
- Promote the interests of the Foundation
- A commitment of a two year term, eligible for extension of one year or renewal for another two-year term to a maximum of six years, in accordance with by-laws
- All Board members must hold an individual AMEF membership throughout the duration of their term
